Welcome to Berry Digital, LLC. By engaging our digital marketing and related services, accessing our platform, or requesting a consultation, you agree to be bound by the following Terms of Service. These terms govern the provision of all SEO, PPC, social media management, content creation, and analytics services provided by Berry Digital, LLC.
Berry Digital, LLC agrees to provide professional digital marketing services as explicitly outlined in your customized service agreement or project proposal. Because the digital landscape is inherently dynamic and largely controlled by third-party algorithms (such as search engines and social media networks), Berry Digital, LLC retains the right to pivot strategies, adjust campaign parameters, and modify resource allocation in order to pursue the best possible performance outcomes for the client. All campaign strategies are executed using industry best practices and ethical "white-hat" methodologies.
Digital marketing, particularly Search Engine Optimization (SEO) and organic content marketing, requires sustained effort over time to yield measurable results. While Berry Digital, LLC will provide estimated timelines for project milestones, campaign launches, and expected performance shifts, these timelines are approximations. Berry Digital, LLC shall not be held liable for delays caused by external factors, including but not limited to, delayed client approvals, changes in third-party platform algorithms, or technical infrastructure limitations on the client's end.
Clients are required to pay all service fees according to the billing schedule established in their service agreement. For paid advertising campaigns (PPC), the client acknowledges that the "Ad Spend" budget is paid directly to the advertising network (e.g., Google, Facebook) and is strictly separate from Berry Digital, LLC's management fees. Berry Digital, LLC will not fund ad accounts on behalf of the client. Failure to remit payment for management fees may result in the immediate suspension of campaign management, analytics reporting, and related services.
Upon receipt of full payment for services rendered, the client assumes ownership of the final deliverables, including custom graphics, written copy, and campaign reports created specifically for their project. However, Berry Digital, LLC retains the rights to internal frameworks, proprietary software, workflow methodologies, and analytical templates used to generate those deliverables. Berry Digital, LLC reserves the right to use sanitized performance metrics and general creative concepts as case studies in our portfolio, unless expressly forbidden by a mutual non-disclosure agreement.
